The rules and conditions governing your use of the Vestra Realty platform.

By accessing or using Vestra Realty ("the Platform," "Vestra," "we," "us"), operated by Morph Vestra Inc., a corporation registered under the laws of the Republic of the Philippines, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must not use the Platform. These Terms apply to all users, including buyers, property owners and sellers, developers, Vestra Sales Attendants, referral-program participants (Client Bringers and Property Owner Bringers), landlords, and tenants.
These Terms are governed by and construed in accordance with the laws of the Republic of the Philippines, including but not limited to the Real Estate Service Act (RA 9646), the Data Privacy Act (RA 10173), the E-Commerce Act (RA 8792), the Consumer Act (RA 7394), the Maceda Law (RA 6552), the Anti-Money Laundering Act (RA 9160, as amended), and the Intellectual Property Code (RA 8293). They incorporate by reference our Privacy Policy.
Vestra Realty is a technology marketplace that lists properties and facilitates and mediates property transactions between buyers, sellers, and developers. The Platform does not itself buy, sell, own, or hold title to properties, and is not a party to the real estate contracts entered into between users.
Brokerage authority. All real estate brokerage acts that require a license under RA 9646 (RESA) — negotiation and representation of parties — are performed by Vestra's President and licensed Real Estate Broker, who holds a valid PRC license. The Platform, together with the licensed Broker, forms the brokerage-compliance layer.
Vestra Sales Attendants are contractual support staff — they are NOT licensed real estate brokers or salespersons and do NOT perform acts requiring a PRC license. They guide users through the Platform, assist with documentation, and coordinate schedules, analogous to a concierge or service desk. They do not negotiate prices, represent any party, sign transaction documents, or collect payments. See Section 9.
All property transactions must occur exclusively within the Vestra Realty platform. This is a core operating principle and a binding condition of use.
The identity of property owners is never disclosed publicly on the Platform. Owner information is protected at all stages of the transaction and is revealed only at the final contract execution stage, at the Vestra office, in person. Users who attempt to discover, solicit, or share owner information outside the Platform violate these Terms and may face account termination and legal action.
Vestra Sales Attendants are contractual support staff engaged under service agreements. They are not RA 9646 practitioners and hold no PRC license in that capacity. Sales Attendants must:
Vestra operates referral programs that let approved participants refer buyers (Client Bringer, "CB") or property owners (Property Owner Bringer, "POB") in exchange for rewards. Participation is subject to these Terms and to program rules:
All users, Sales Attendants, participants, developers, and representatives associated with Vestra Realty are bound by the following:
All payments on Vestra Realty are processed as bank-to-bank transfers, and Vestra admin confirms receipt before proceeding with transaction stages. Any platform fees, commissions, or program rewards are disclosed before the relevant transaction is confirmed. Unless explicitly stated in writing, Vestra does not hold funds in escrow. Taxes are addressed in Section 15.
You consent to transact electronically. Under the E-Commerce Act (RA 8792), electronic documents and electronic signatures executed on the Platform are legally valid and enforceable. When you sign a document on Vestra, your authenticated session, a timestamp, your IP address, and a tamper-evidence record are stored as part of the signing trail. You agree that such records constitute valid evidence of your agreement in any dispute or proceeding.
Taxes and government fees arising from a property transaction — including but not limited to Capital Gains Tax, Documentary Stamp Tax, Transfer Tax, registration fees, VAT (where applicable), and withholding taxes — are the responsibility of the respective parties as provided by law and as agreed in the contract. Vestra does not calculate, collect, withhold, or remit these taxes on behalf of the parties. Any tax figures shown on the Platform are good-faith estimates for information only and are not tax advice. Consult a tax professional and the BIR for authoritative computations.
Under the Philippine Constitution and related laws, foreign nationals may not own Philippine land (including lots, house-and-lot, and agricultural land). Foreign nationals may own condominium units subject to the 40% foreign-ownership cap per project under the Condominium Act (RA 4726), and may lease property. By applying, foreign buyers acknowledge these restrictions. Vestra may decline or restrict applications that would violate Philippine ownership law.
For residential real estate purchased on installment, the Maceda Law (RA 6552) grants protections, including grace periods and, after at least two years of payments, a right to a cash-surrender refund of a portion of payments made upon cancellation. The specific rights and refund computation are governed by RA 6552 and the terms of your contract. These statutory rights are not waived by these Terms.
The Platform offers AI-assisted features (property assistant, help assistant, and an internal administrative assistant). These features are informational only: they do not determine eligibility, approve or reject applications, set prices, assign roles, or make binding decisions. AI output may be incomplete or inaccurate and must not be relied upon as legal, financial, or tax advice. Our use of AI and your related rights are described in our Privacy Policy.
You retain ownership of content you upload (listing photos, videos, descriptions, comments, and reels interactions). By uploading, you grant Vestra a non-exclusive, royalty-free license to host, display, reproduce, and distribute that content within the Platform and its promotional channels for the purpose of operating the marketplace. You represent that you have the rights to the content you upload and that it does not infringe any third party's rights or violate any law. Vestra may remove content that violates these Terms.
All Platform materials, including design, code, text, graphics, logos, and compiled listing data, are the property of Morph Vestra Inc. or its licensors and are protected under the Intellectual Property Code (RA 8293). Unauthorized reproduction, scraping, crawling, or republishing of Platform content is prohibited.
Your use of the Platform is also governed by our Privacy Policy, which explains how we collect, use, store, and protect your personal data in compliance with the Data Privacy Act (RA 10173). By using the Platform, you acknowledge that you have read and understood the Privacy Policy.
The Platform is provided "as is" and "as available." Vestra Realty is a marketplace and does not guarantee the accuracy of listing information provided by sellers and developers, the conduct of any user, or the outcome of any transaction. Vestra is not a party to real estate transactions between users and is not liable for disputes between them. To the maximum extent permitted by Philippine law, Vestra's aggregate liability to you for any claim arising from your use of the Platform is limited to the total platform fees you paid to Vestra for the transaction in question. Nothing in these Terms excludes liability that cannot be excluded under law.
You agree to indemnify and hold harmless Morph Vestra Inc., its officers, employees, and contractors from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms, your violation of any law or third-party right, or content you submit to the Platform.
Vestra reserves the right to suspend or terminate user accounts for violations of these Terms, fraudulent activity, or conduct that harms the Platform or its users. Upon termination, you lose access to the Platform, but your transaction records and audit logs are retained as required by law (see the Privacy Policy retention schedule).
These Terms are governed by the laws of the Republic of the Philippines. Any dispute arising from the use of the Platform shall first be resolved through Vestra's internal mediation process. If mediation fails, disputes shall be resolved through arbitration in Cebu City, Philippines, in accordance with the Alternative Dispute Resolution Act (RA 9285). Real estate-specific consumer disputes may also be brought before the DHSUD where applicable. Philippine courts shall have jurisdiction over any remaining legal proceedings.
Vestra is not liable for any failure or delay in performance caused by events beyond its reasonable control, including natural disasters, acts of government, power or internet outages, or failures of third-party service providers.
We may update these Terms from time to time. Material changes will be communicated via email or in-platform notification at least 15 days before they take effect. Continued use of the Platform after changes constitutes acceptance of the updated Terms.
